End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and SingTone Technologies (“Licensor”) for the use of the Track Span plugin (the “Software”).

1. License Grant

Subject to the terms of this EULA and payment of the applicable license fees, Licensor grants Licensee a non-exclusive, non-transferable license to install and use the Software on Licensee’s WordPress site(s) in accordance with the purchased tier (Starter, Growth, Professional, or Enterprise).

2. License Restrictions

Licensees may not:

  • Sublicense, rent, lease, lend, or transfer the Software to third parties

  • Reverse engineer, decompile, or disassemble the Software

  • Remove or alter any Licensor copyright or trademark notices

  • Use the Software in violation of applicable laws or for any unlawful purpose

3. Ownership

All title, ownership rights, and intellectual property rights in and to the Software (including any modifications, updates, or enhancements) remain with Licensor.

4. Updates & Support

  • Professional & Enterprise: includes free updates and email support during the active license period.

  • Starter & Growth: include updates only; support is limited to online documentation and community forums.

5. Fees & Renewals

Licenses are granted for the term indicated:

Tier Term Renewal
Starter 1 year Automatic (if subscription) or manual
Growth 1 year Automatic or manual purchase of add-on project packs
Professional 1 year Automatic subscription
Enterprise Custom Per agreement

Failure to renew will cause the Software to enter read-only mode until the license is renewed.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” AND LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE LICENSE FEES PAID BY LICENSEE. IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Termination

This EULA is effective until terminated. Licensor may terminate this EULA immediately if Licensee breaches any terms. Upon termination, Licensee must cease use of the Software and remove it from all systems.

9. Governing Law

This EULA is governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of laws principles.

10. Entire Agreement

This EULA, together with any referenced policies or order confirmations, constitutes the entire agreement between the parties with respect to the Software and supersedes all prior agreements.

By downloading, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Privacy Policy and End User License Agreement.
